TERMS OF SERVICE

1. ACCEPTANCE OF THESE TERMS

These Terms of Service ("Terms") form a legally binding agreement between you ("User","you") and MD SOFTWARE L.L.C-FZ, a limited-liability company incorporated in the Meydan Free Zone, Dubai, United Arab Emirates ("Company", "we", "our"), with registered office at Meydan Grandstand, Nad Al Sheba 1, Dubai, UAE ("Registered Office"). By accessing or using any website, mobile site, application, software, API, onboarding wizard or other service that we own or operate (collectively, the "Services") you acknowledge that you have read, understood and agree to be bound by these Terms and all policies referenced here. If you do not agree, you must not use the Services.

You warrant that (a) you are at least 18 years old and have full legal capacity; (b) your use is legal in your jurisdiction; (c) you are not located in, established in, or a citizen of any country subject to UAE/UN/OFAC sanctions; and (d) you have not previously been suspended by us.

4. SCOPE OF SERVICES

We use proprietary AI models and manual curation to match Merchants with suitable Processors, collect KYB/KYC data via a digital wizard, and (where technically possible) pre-populate Processor application forms or transmit data via secure APIs ("Matching Service"). We are not a bank, PSP or money-service business and do not ourselves
process payments or hold client funds.

6. FEES & PAYMENT

Our one-time package fees (displayed on the Site) are payable in advance and are non-refundable once the onboarding wizard is completed, except where mandatory law grants you a right of refund. Prices are in UAE Dirhams (AED) unless stated otherwise and are exclusive of the 5 % UAE VAT, which will be added where applicable. You are responsible for all bank charges and exchange-rate differences.

7. REFUNDS & CANCELLATIONS

Under UAE Cabinet Resolution (1/2027) on e-commerce consumer protection you may cancel within 24 hours of purchase provided we have not yet transmitted your data to any Processor. To request a refund, email[email protected] with your order reference.

8. INTELLECTUAL PROPERTY

The Services, including all code, algorithms, text, graphics and trademarks, are owned by or licensed to the Company and protected under UAE Copyright Law No (38) /2021 and international treaties. You receive a limited, non-exclusive, non-transferable licence to use them solely to evaluate and obtain payment-processing options.

9. DATA PROTECTION

We process personal data in accordance with our Privacy Policy, the UAE Federal Decree-Law No 45 of 2021 (PDPL) and Meydan Free Zone Data-Protection Rules. By providing any personal data, you warrant that you have authority to disclose it and grant us a lawful basis to process it.

The Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee Processor approval, pricing, uptime or suitability. To the maximum extent permitted by Applicable Law, we disclaim all implied warranties (merchantability, fitness for purpose, non-infringement, etc.).

12. LIMITATION OF LIABILITY

To the extent permitted by law, our aggregate liability under these Terms shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, punitive or consequential damages, lost profits, loss of goodwill or business interruption.

13. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its directors, employees and agents from and against any claims or losses arising out of (a) your breach of these Terms, (b) your violation of Applicable Law or third-party rights, or (c) any content you submit.

14. TERM & TERMINATION

These Terms apply from your first use of the Services and continue until terminated by either party. We may suspend or terminate access immediately for breach. Clauses intended to survive (e.g., IP, liability, indemnity, governing law) will do so.

15. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and any non-contractual obligations shall be governed by the laws of the Emirate of Dubai and, to the extent applicable, the federal laws of the UAE, without regard to conflict-of-laws principles. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Dubai.
Alternative: if both parties agree in writing, the dispute may be referred to arbitration under the DIFC-LCIA Rules, seat DIFC, language English.

16. CHANGES TO THESE TERMS

We may update these Terms to reflect legal, technical or business changes. If we make material changes we will post a notice on the Site or notify you by email. Continued use after changes take effect constitutes acceptance.
